Winding-up of a GmbH after fulfilment of its corporate purpose

since 2025 · ongoing

Teaser

Once the corporate purpose had been fulfilled, THI took on the liquidator function – including the review and archiving of the records, the conclusion of outstanding restitution proceedings and insolvency-proof protection of pension obligations beyond full dissolution.
The shareholders of a GmbH whose corporate purpose was the restitution of formerly expropriated assets under German reunification law had resolved to wind up the company once that purpose had been achieved.
THI took on the liquidator function: legally compliant processing and archiving of the company records, conclusion of the last restitution proceedings, insolvency-proof protection of existing pension obligations beyond full dissolution of the company, and realisation of the remaining assets and liabilities.
The mandate is expected to end in 2027 with the closing balance sheet and the liquidation report to the shareholders.
